Once a buy-out or buy-in has been agreed in principle, speed is essential, or the business is likely to suffer. Uncertainty may lower morale amongst the staff. Less attention will be given to managing the business whilst the negotiations are taking place.
As an indication, 3 or 4 months should be sufficient to complete the transaction from initial agreement in principle. If the deal is in response to an unwelcome bid for a listed company, then a quicker completion is likely to be essential.
Business plan
The purpose of the business plan should be to provide the information and forecasts for:
• institutional investors to help them decide to invest
• the purchase price to be decided
• the financial structure of the deal to be determined
The plan should be written by the management team, and must provide a comprehensive picture. The outside advisers should provide guidance and review it to ensure it is an effective document to help sell the deal to inves
